Merger creates new national food company

Rosen’s Diversified Inc (RDI) and American Foods Group Inc have announced an agreement in principle to create a new national food company. American Foods Group LLC will be formed by combining the operations of American Foods Group Inc and the Rosen Meat Group Inc, a wholly owned RDI subsidiary.

The new company, to be based in Alexandria MN, will consist of all of American Foods Group Inc's current operations, along with RDI’s meat processing companies. The parties expect the merger to close by late August after due diligence. Combined total sales for the two firms in 2004 were more than $1.5 billion. Terms of the agreement were not announced.

The Rosen Meat Group Inc employs more than 1,700 workers at its fresh and frozen meat processing plants in Minnesota, South Dakota, Nebraska, and Virginia.

American Foods Group Inc, headquartered in Green Bay WI, produces fresh and frozen meats, ground beef, deli meats, hams, bacon, and sausages, along with cooked and case-ready meat. The company has plants in Wisconsin, South Dakota, and Ohio, with more than 1,800 employees.
