SuperValu, C&S agree to exchange assets
Sep 9, 2003 12:00 PM, from staff and wire reportsSuperValu Inc and C&S Wholesale Grocers Inc have announced an asset exchange agreement whereby SuperValu will acquire Fleming CompaniesÕ former Midwest operations from C&S. In exchange, C&S will acquire SuperValuÕs New England operations. The transaction is expected to close by mid-September 2003; the Hart Scott Rodino waiting period has expired.
Through the transaction, SuperValu will acquire the Fleming Midwest operations, including customer supply agreements, inventory, trade names including Sentry Foods and Festival Foods, and real estate in La Crosse and Waukesha WI. The three facilities in La Crosse and Waukesha and Massillon OH now operated by Fleming will be closed. SuperValu will provide services to customers from its own facilities in the Midwest.
C&S will acquire SuperValuÕs New England operations primarily including customer supply agreements; inventory; three owned distribution centers in Portland ME, Andover MA, and Cranston RI; and a closed, leased facility in Suffield CT.
